GenAnywhere Exported 3D Model License Statement
This License Statement is issued by Wings Digital Technology (HK) Co., Limited ("GenAnywhere," "we," "us," or the "Licensor") and applies to 3D model files lawfully exported by a user from GenAnywhere websites, applications, software, or related services ("Exported Models"). It governs only the use of Exported Models. It does not grant rights in a GenAnywhere account, online services, software, algorithms, source code, map services, third-party data, or other platform content. Before using or distributing an Exported Model, please read and comply with this Statement, the GenAnywhere Terms and Conditions and Privacy Policy, and any applicable third-party data or software license terms.
1. Definitions and Eligibility
1. "Exported Model" means a model file generated, edited, or otherwise created through a relevant GenAnywhere feature and actually obtained while the user has the applicable export entitlement, together with textures, materials, maps, scene settings, and other components supplied with the file that are reasonably necessary to open, display, or run it.
2. "Project Output" means an architectural design, planning proposal, game, film or animation, digital twin, virtual scene, BIM or GIS deliverable, image, video, program, physical model, or other work independently created or produced by the user or its collaborators that may incorporate an Exported Model.
3. The rights in this Statement are conditional on the user lawfully generating the relevant model and obtaining the corresponding Exported Model through a valid export entitlement. Credits, generation access, or other usage limits alone do not constitute delivery of a model file or create a license for a file that was never successfully exported.
2. Grant and Nature of the License
1. Subject to this Statement and applicable law, the Licensor grants the user a non-exclusive, worldwide, perpetual commercial license to use, reproduce, modify, optimize, resize, reposition, rotate, adjust materials, convert formats, display, deploy, and deliver Exported Models lawfully obtained by the user. The license begins when the user obtains the relevant Exported Model and does not automatically terminate when a plan, credits, or subscription period expires.
2. This Statement does not transfer ownership, copyright, patent rights, trademark rights, trade secrets, platform technology rights, or any other intellectual property rights in an Exported Model or its components. All rights not expressly granted remain with the Licensor or the applicable third-party rights holder.
3. Re-exporting or exporting the same successfully generated model in multiple formats while the user has export entitlement is a repeated acquisition within the same license scope. It does not create a new or broader license each time.
3. Permitted Uses
Subject to this Statement, the user may:
1. Use an Exported Model in architecture, project design, urban planning, games, film and animation, digital twins, virtual environments, 3D printing, and other lawful commercial projects.
2. Make necessary modifications, optimizations, rescaling, positional or rotational adjustments, material adjustments, format conversions, separations, combinations, and scene integrations.
3. Import an Exported Model into Unity, Unreal Engine, Blender, Revit, Rhino, SketchUp, ArcGIS, or other compatible software for production, preview, presentation, deployment, and delivery. Use of that software remains subject to its own license terms.
4. Use an Exported Model as part of a Project Output for rendering, screenshots, video, animation, interactive presentation, public promotion, publication, or sale.
5. Use an Exported Model to make physical models, exhibits, or other 3D-printed outputs and lawfully deliver or sell those physical outputs.
4. Project Collaboration and Limited Sharing
1. The user may provide an Exported Model or limited access to it to a client, employee, outsourcing team, contractor, or necessary technical service provider to complete a specific project.
2. Any such provision must be limited to what is necessary for project implementation, review, modification, rendering, deployment, delivery, or maintenance. It does not transfer ownership or grant the recipient an independent sublicense. The user must require recipients to observe restrictions no less protective than this Statement and remains responsible for use beyond the project need.
3. The user may deliver or sell a Project Output that incorporates an Exported Model, but may not use that delivery to grant a customer or other third party independent rights in the Exported Model beyond this Statement.
5. Prohibited Uses
Without the Licensor’s separate written permission, the user may not:
1. Sell, rent, transfer, exchange, license, subscribe, or otherwise monetize an original Exported Model or a model file that can be independently extracted.
2. Upload an Exported Model to a digital-asset marketplace, model or asset website, download platform, public download link, community-sharing platform, or other channel where an independent model file can be obtained by the public.
3. Package an Exported Model as a model asset pack, collection, template, model library, reusable asset library, or similar product for distribution.
4. Use an Exported Model or an identifiable part of it for artificial-intelligence training, machine-learning or deep-learning datasets, generative-AI data collection, model iteration, algorithm optimization, or similar purposes.
5. Treat an Exported Model itself as an independent digital asset for sale, rental, transfer, sublicensing, or independent asset operations.
6. Claim complete original copyright or other complete intellectual-property ownership in an Exported Model, or register, record, or make a similar ownership claim over the Exported Model itself.
7. Remove or obscure GenAnywhere or third-party copyright, trademark, source, or other rights notices, or bypass platform access controls, export limits, payment requirements, or technical restrictions.
8. Use an Exported Model for conduct that violates law or public order or infringes another person’s lawful rights.
6. Derivative Works and Project Outputs
1. A Project Output created by reasonably modifying, optimizing, or integrating an Exported Model may be used, displayed, deployed, delivered, or sold in lawful commercial activity.
2. The user may claim rights permitted by law in its independently created text, images, animation, interaction logic, source code, design plans, and other new material. The Exported Model and identifiable portions of it remain subject to this Statement.
3. A Project Output may not be split, extracted, or processed into an independent substitute for the Exported Model, an asset pack, model product, model library, or other independently distributable model asset.
7. Third-Party Data and Use Limits
1. An Exported Model may be generated from map imagery, terrain, vegetation, water, building information, or other third-party data. The Licensor grants the rights in this Statement only to the extent that it owns or controls the relevant rights and may lawfully grant them. This Statement does not expand any license for third-party data, imagery, map services, or content. The user must comply with the applicable provider’s license, attribution, geographic, and use restrictions.
2. The user must independently verify an Exported Model’s dimensions, location, height, type, terrain fit, completeness, and other parameters for the specific project. An Exported Model is not, by itself, a surveying product, engineering survey, planning-approval basis, construction drawing, structural-safety basis, or other professional opinion.
3. The user must ensure that its use of an Exported Model and any input content supplied to GenAnywhere does not infringe another person’s copyright, trademark, patent, privacy, trade-secret, or other lawful rights.
8. Evidence, Records, and Changes
1. Account plan or subscription records, credit or quota records, generation records, export records, order records, and model-file identifiers may be used together to confirm generation eligibility, export eligibility, and the relationship between a user and a model. The user should retain those records.
2. GenAnywhere may update this Statement as its business, technology, or applicable law changes and will publish the updated version on its website. The updated version applies to models generated or exported after publication. A lawfully obtained Exported Model generally remains subject to the Statement in effect when it was obtained, except where mandatory law provides otherwise or the user is in breach.
3. This Statement applies only to models successfully generated through relevant GenAnywhere features and lawfully obtained as Exported Models. A model that was not successfully generated, was never actually exported, or exists only within the platform does not receive the file-use license described in this Statement.
9. Breach and Responsibility
1. If the user breaches this Statement, the Licensor may, based on the seriousness of the breach, require the user to stop the relevant use, delete, take down, or restrict distribution of the non-compliant model files or resources, and pursue remedies available under law. For content already embedded in a lawful Project Output and not reasonably capable of separate withdrawal, the Licensor may require the user to stop new use, restrict further distribution, or take other reasonable remedial measures.
2. The user is responsible for modification, adaptation, deployment, delivery, and final use of an Exported Model in a specific project. The user is responsible under applicable law for disputes, infringement, regulatory penalties, or losses arising from use beyond this Statement or from the user’s project content, data, materials, or operations.
3. If a project requires a broader delivery scope, reuse scope, sublicense scope, or other rights in the original Exported Model, the user must obtain the Licensor’s prior written permission.
10. Governing Law and Disputes
1. This Statement is governed by the laws of the People’s Republic of China, excluding its conflict-of-laws rules.
2. The parties will first seek to resolve a dispute through good-faith discussion. If no resolution is reached, either party may bring the dispute before a court of competent jurisdiction at the Licensor’s principal place of business.
3. If this Statement conflicts with the GenAnywhere Terms and Conditions or service-specific rules concerning use of an Exported Model, the specific provisions of this Statement control for the license of the Exported Model. The Terms and Conditions and applicable rules continue to govern all other matters.
