Thank you for choosing GenAnywhere online services. Before using any part of the Services, please read, understand, and agree to these Terms of Service (the "Agreement"), including any service-specific terms or rules. Limitations, disclaimers, and provisions that materially affect your rights may be highlighted for your attention. If you do not agree to every term, you may not access or use the Services. By selecting "Agree" during registration, completing registration, or accessing, browsing, downloading, purchasing, configuring, or using any part of the Services, you accept and agree to this Agreement.
If you are not fully capable of entering into a civil agreement because of age or other reasons, read this Agreement with your legal guardian and pay particular attention to the provisions concerning minors.
1. Scope of the Agreement
1.1. This Agreement is between you and Wings Digital Technology (HK) Co., Limited ("GenAnywhere", "we", or "us") and governs your access to GenAnywhere websites, applications, software, APIs, accounts, and related services.
1.2. Service-specific rules, product documentation, subscription terms, and policies published by GenAnywhere form part of this Agreement. If they conflict with this Agreement, the service-specific terms control for that service.
1.3. GenAnywhere may update or replace a service, feature, interface, or supported platform. The applicable version is the version actually made available to you.
2. Definitions
2.1. "You" or "User": the individual or organization using any part of the Services after reading and accepting this Agreement and the applicable service terms.
2.2. "Account": the credentials and account record used to access the Services, including an account created with a supported sign-in provider.
2.3. "User Content": data, images, models, files, prompts, text, and other materials that you upload, create, submit, or process through the Services.
2.4. "Service": each GenAnywhere product, website, application, software component, cloud feature, export feature, and related support service made available to you.
3. Account Creation, Security, and Cancellation
3.1. You must provide accurate, complete, and current registration information and keep it updated. You may not create an account for another person without authorization or impersonate another person or organization.
3.2. You are responsible for safeguarding your credentials and for all activity under your Account. Notify us promptly at help@wingsengine.com if you suspect unauthorized access.
3.3. You may not sell, rent, transfer, share, or otherwise make your Account available to an unauthorized third party. GenAnywhere may suspend or close an Account that is used in violation of this Agreement or creates a security risk.
3.4. You may request Account cancellation by contacting support. Cancellation may not undo obligations, charges, or rights that arose before cancellation, and some information may be retained where required by law.
3.5. GenAnywhere's commitment to protect the privacy of Account content continues after your death or incapacity. If you want another person to access your Account or its content after that event, you must provide that person with the required access information in advance.
4. Service Activation and Subscriptions
4.1. Some Services require registration, payment, a valid subscription, credits, or acceptance of additional terms. You authorize GenAnywhere or its payment provider to charge the applicable price, taxes, and fees shown at checkout.
4.2. Subscription periods, renewal, cancellation, credits, usage limits, and refunds are governed by the terms presented for the relevant Service. Unless expressly stated otherwise, unused credits or subscription time are not transferable.
4.3. GenAnywhere may change prices or usage limits prospectively. We will provide notice where required by law or the applicable subscription terms.
5. User Conduct
5.1. You may not use an Account, the software, or the Services to create, copy, publish, transmit, store, or distribute content that interferes with normal operation or infringes the rights of another user or third party, including:
5.1.1. Content that violates applicable laws or regulations, promotes violence, terrorism, fraud, exploitation, or illegal activity.
5.1.2. Content that infringes copyright, trademark, patent, trade secret, privacy, publicity, or other rights.
5.1.3. Harassing, defamatory, hateful, discriminatory, sexually explicit, deceptive, or abusive content.
5.1.4. Content that exposes another person's private information or sensitive personal information without a lawful basis.
5.1.5. Spam, malware, phishing, unsolicited advertising, or content that disrupts the Services or network.
5.2. Software use restrictions. Unless applicable law permits or GenAnywhere gives written authorization, you may not:
5.2.1. Remove copyright, trademark, or other proprietary notices from the Services.
5.2.2. Reverse engineer, decompile, disassemble, or attempt to discover source code.
5.2.3. Copy, modify, rent, lease, sell, distribute, publish, or create derivative works from the Services except as expressly permitted.
5.2.4. Interfere with runtime data, servers, security controls, APIs, or technical limits, or use unauthorized plugins, bots, crawlers, or third-party tools.
5.2.5. Bypass access controls, usage limits, payment requirements, or geographic restrictions.
5.2.6. Access or use the Services through unauthorized software, plugins, systems, or credentials, or distribute tools intended to do so.
5.3. Other requirements. You must comply with this Agreement and applicable laws, pay amounts due, maintain a lawful source and the necessary rights for User Content, and cooperate with reasonable investigations of abuse or security incidents.
6. Breach and Enforcement
6.1. You breach this Agreement if you violate applicable law, infringe the lawful interests of GenAnywhere or a third party, or violate this Agreement or applicable service rules.
6.2. GenAnywhere may determine violations using reasonable procedures and available technical evidence. You may be asked to explain unusual activity or provide information needed to investigate it.
6.3. If User Content violates this Agreement, GenAnywhere may delete, block, restrict, or disable access to that content. If you engage in prohibited conduct, GenAnywhere may limit, suspend, or close your Account or access to the Services.
6.4. If your conduct causes GenAnywhere or its affiliates to face a claim, penalty, loss, or expense, you will defend and indemnify GenAnywhere and its affiliates to the extent permitted by law.
7. Disclaimers and Limitations of Liability
7.1. GenAnywhere may maintain, update, or modify the Services from time to time. These activities may temporarily affect access. We will use reasonable efforts to provide notice and restore access promptly, but we are not responsible for inconvenience or loss caused by scheduled maintenance or circumstances beyond our reasonable control.
7.2. To the maximum extent permitted by law, GenAnywhere is not liable for interruption, delay, data loss, loss of profits, or indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
7.3. The Services are provided based on the technology and conditions currently available. We will use reasonable efforts to provide reliable and secure Services, but we do not warrant that the Services will be uninterrupted, error-free, or free of defects.
7.4. The features available to users may differ by region, device, account, subscription, or applicable law. The version actually provided to you controls.
8. Termination
8.1. GenAnywhere may discontinue a paid Service. If you have purchased unused portions of that Service and applicable law or the service terms require a refund, GenAnywhere will refund the eligible unused amount through the original or another mutually accepted payment method.
8.2. Except as expressly required by law or the applicable service terms, payments are non-refundable. This clause controls if it conflicts with another provision of this Agreement.
8.3. Upon termination, your right to use the affected Services ends immediately. Provisions that by their nature should survive termination, including payment, intellectual property, confidentiality, disclaimers, liability limitations, and dispute resolution, will survive.
9. Changes to This Agreement
GenAnywhere may update this Agreement when the Services, technology, or applicable law changes. We will post the updated version and, where appropriate, notify you through the Services or by email. If you do not agree to an update, stop using the affected Services before the updated effective date. Your continued use after that date means that you have read, understood, and accepted the updated Agreement.
10. User Information and Privacy
10.1. Protecting personal information is a fundamental principle for GenAnywhere. We collect, use, store, and share personal information in accordance with our Privacy Policy.
10.2. You must provide truthful and complete information when required to register or use a Service. Incomplete or inaccurate information may prevent access or result in restrictions.
10.3. You may be able to view or edit information submitted through the Services. For security and identity verification, some initial registration or verification information may not be editable.
10.4. GenAnywhere uses reasonable security technologies and procedures to protect personal information from unauthorized access, use, or disclosure.
11. Compliance with Local Laws
11.1. You must comply with the laws, regulations, and cultural norms applicable where you use the Services. You are solely responsible for consequences of unlawful use.
11.2. You must not use the Services in a way that causes GenAnywhere to violate laws or become involved in unlawful political, public-safety, or other prohibited events. GenAnywhere may suspend or terminate access when necessary.
12. Customer Service
If you object to a restriction, suspension, or termination of your Account, or if you have another question about the Services, contact help@wingsengine.com. We will provide reasonable assistance and review your request in accordance with our procedures.
13. Miscellaneous
13.1. This Agreement and any dispute arising from it are governed by the laws applicable to GenAnywhere's contracting entity, without regard to conflict-of-law principles.
13.2. The parties will first try to resolve a dispute through good-faith discussion. If no resolution is reached, either party may bring the dispute before a court of competent jurisdiction.
13.3. GenAnywhere's failure to exercise or enforce a right or provision does not waive that right or provision.
13.4. Headings are for convenience only and do not affect interpretation.
13.5. If any provision is held invalid or unenforceable, the remaining provisions remain valid and enforceable.
